Dealer Agreement and Acceptable Use Policy (Draft)

The binding Dealer Agreement and Acceptable Use Policy will be authored and signed off separately before any dealer billing is enabled. Nothing on this page sets final pricing, creates a binding obligation, or replaces the Terms of Service.
What this covers
Choo Choo Media Foundation, doing business as CCMF Trains ("we", "us"), runs a Dealer Custom Run Showcase where an approved dealer can list a custom run — a limited or made-to-order product — so collectors can discover it. This draft describes the relationship between CCMF Trains and a dealer who uses the showcase. It does not change the member-to-member marketplace terms, which are covered by the Terms of Service.
Dealer accounts and approval
- Under this draft posture, creating a dealer account is expected to be free of charge — no pricing on this page is final. A dealer account is a public dealer identity linked to your CCMF Trains sign-in.
- New dealer accounts start as pending approval. We review each account for brand safety before any showcase listing can be published. Approval is at our discretion and can be withdrawn.
- You are responsible for keeping your dealer profile accurate and for the content you publish.
Showcase access fees (dealer to CCMF)
- A published custom run is a paid, time-boxed showcase placement. The fee a dealer pays is an access and placement fee for visibility on the showcase — it is not a commission on any sale.
- Access is granted per custom run for a limited time. When a placement expires, the run is unpublished until access is renewed.
- Draft pricing, billing cadence, and refund terms are not final and will be set when the checkout is built. This page will be updated with the binding terms before dealer billing is enabled.
Marketplace and venue posture
CCMF Trains is a venue only — for both member-to-member marketplace listings and dealer showcase runs.
- The sale of a showcased custom run happens off-platform, on the dealer's own website or channel. Buyers leave CCMF Trains to complete the purchase.
- We are not a party to that sale. We do not process the buyer's payment, hold funds, verify or grade items, handle fulfillment or shipping, or take a cut of the sale price.
- The access fee a dealer pays covers placement and visibility on the showcase — nothing more. It does not make CCMF Trains a broker, agent, or guarantor of any transaction.
This mirrors the member-to-member "facilitator only" posture in the Terms of Service: the only new money flow is the dealer-to-CCMF access fee described above, and it is not tied to any sale.
Acceptable use policy for dealers
The binding agreement is expected to require dealers, while using the Dealer Custom Run Showcase, to:
- List only products you are authorized to sell, with accurate descriptions, pricing, images, and availability.
- Honor the terms you advertise, including price and delivery expectations.
- Not list counterfeit, stolen, recalled, or otherwise prohibited items, and not infringe anyone's intellectual-property or trademark rights.
- Not misrepresent yourself, your products, or your affiliation with any manufacturer or brand.
- Keep listings brand-safe and appropriate for a general audience.
- Comply with all applicable laws, including consumer-protection, advertising, and export rules.
The binding agreement is expected to let us unpublish a listing, suspend a placement, or suspend a dealer account if we believe this policy has been broken. Where practical we would tell you why.
Sales tax on access fees
- The dealer access fee is a digital-service (SaaS-style) charge. We collect sales tax on it per jurisdiction, only where we are required to, consistent with our posture of collecting sales tax only where necessary.
- Automated per-jurisdiction tax calculation is deferred to the checkout build and is out of scope for this draft. Any applicable tax will be shown at checkout once that work ships.
- You, the dealer, remain solely responsible for any sales, use, or other tax on the off-platform sale of your products to buyers. CCMF Trains does not collect or remit tax on your sales.
Changes, suspension, and termination
This draft may change before it becomes binding. Once the binding agreement is in place, we may update it and will note the effective date. We may suspend or end a dealer's access to the showcase for a breach of these terms, for a brand-safety concern, or as otherwise described in the Terms of Service.
